Terms of Use
These Terms of Use ("Agreement") are between you and Moddelix ("Moddelix," "we," or "us"), which operates the service available at moddelix.com. By completing a purchase or accessing the Product, you confirm that you have read and accepted this Agreement.
Definitions
"Product" means the financial model generated for you from your answers, delivered as an in-browser preview and a downloadable spreadsheet file, together with any supporting documentation. "Service" means the Moddelix website and application, together with any customization or additional work delivered under a separate written agreement.
1. What you may do
You may use the model in your own business and for your own purposes, including business plans, pitch decks, and investor or lender presentations, and you may edit the files to fit your needs. If you bought the Product for a company, the license covers that company and the people who work for it. Anyone helping you, such as an advisor or contractor, may use the Product while working for you, but may not keep copies after that work ends.
2. What you may not do
You may not resell, share, or redistribute the Product, or include it, changed or unchanged, in anything you sell or provide to others. If someone else needs their own model, they can buy their own license. You may not reuse the Product's formulas, structure, or components to build a competing product or service.
3. Ownership
You own the business information you enter and the resulting figures in your model. Moddelix owns everything that produces them: the template architecture, formulas, structure, textual descriptions, visual design, and accompanying materials, including both their functional and expressive elements. Buying a license gives you the right to use the files for the purposes described in Section 1. It does not transfer ownership of the underlying template or its design.
4. No financial advice
The Product is a tool for building financial projections. It is not financial, legal, or tax advice, and nothing in the Product should be treated as such. Moddelix is not a financial advisor, broker, planner, or tax professional. The projections in your model reflect the inputs and assumptions you provided or approved. You are responsible for reviewing the values in your model, and for making sure they reflect your business, before you rely on it. Before making investment, financing, or business decisions based on your model, consult a qualified professional who knows your specific situation.
5. No warranty
THE PRODUCT AND SERVICE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MODDELIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some places do not allow certain warranty exclusions, so parts of this disclaimer may not apply to you, and nothing in this Agreement limits any liability that cannot be excluded under the law that applies to you.
6. Limitation of liability
MODDELIX'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE. MODDELIX IS NOT LIABLE FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, HOWEVER ARISING. This limitation does not apply to liability arising from fraud, wilful misconduct, or any liability that cannot be excluded under the law that applies to you.
7. Data and privacy
Moddelix collects personal data you provide during purchase and product use, including your name, email address, and payment information processed by Lemon Squeezy, which acts as the merchant of record for purchases. This data is used to deliver the Product and provide support. Moddelix does not sell your personal data to third parties. Depending on where you live, you may have rights to access, correct, or request deletion of your data under the privacy law that applies to you. To exercise these rights, contact us. 8. Termination
This license remains in effect until terminated. If you breach any term of this Agreement, your right to use the Product terminates automatically. On termination, you must stop using the Product and delete all copies in your possession. Sections 3, 4, 5, 6, and 9 survive termination.
9. Disputes and governing law
If you have a problem with the Product, please contact us first. Most issues can be resolved without formal proceedings. If a dispute cannot be resolved informally within 30 days of written notice, both parties will seek to resolve it in good faith and, failing that, through the competent courts of Moddelix's principal place of business. This Agreement is governed by the laws of that jurisdiction. Nothing in this section removes any mandatory right you have under the consumer protection laws of your country of residence; where those laws apply, you may also be entitled to bring proceedings in your local courts.
10. General
This Agreement is the complete agreement between you and Moddelix regarding the Product. If any provision is found unenforceable, the remaining provisions continue in full effect. Moddelix may update this Agreement at any time; the version in effect at the time of your purchase applies to your license.
